Spotlight Plenary 1: Exit Strategies: Valuation and Taxation Considerations in M&A Deals

Mergers & Acquisitions are the fuel of corporate growth and innovation, a way for companies to bring in new technologies, people and market opportunities. Global M&A activity during H1 2018 has reached a level $2.49 trillion over 17,611 deals, representing an increase of 57% over the same period of 2017 (Dealogic data). IP and technology are a key component in both High Tech and Life Sciences acquisitions, and are the focus of careful technological and legal due diligence. And yet, financial considerations – those related to valuation and taxation – can often make or break a deal, just as well.

This cross-sector panel of corporate buyers, taxation and valuation experts, will explore issues related to taxation and valuation and how they impact the structure, pricing and reporting of M&A deals. When it comes to tax considerations, these often determine the structure of the deal and have far reaching implications on the price negotiated by the parties. On the other hand, valuation considerations, particularly when it comes to intangible assets, often arise after the deal closes and determine the reporting of the deal in the buyer’s financials statements.

Three Attendee Takeaways:
• Understand how tax considerations impact the structure of the deal (stock v. asset acquisitions, cash v. stock acquisitions, etc).
• Understand the purchase price allocation process, and how intangible assets are valued for financial reporting purposes.
• Explore difference across sectors when it comes to the pricing and structure of M&A deals in High Tech v. Life Sciences (for example: unique milestone structures, and their implication on pricing and tax considerations).
